Hulme Supercars Limited is considering making a public offer of shares
The proposed public offer is being considered in conjunction with a re-capitalisation of Hulme which is likely to result in changes to Hulme’s structure, including the establishment of a new holding company (to be re-named Hulme Supercars Limited).
Any such structural changes and re-capitalisation will have as their objective putting the business on a more secure footing in order to complete the construction of pre-production models with the objective of undertaking a launch programme at major international motor shows and other events with the intention of generating an initial book orders.
No money is currently being sought and no application for securities will be accepted or money received unless the investors have received an investment statement.
Hulme is seeking preliminary expressions of interest from investors who would be interested in subscribing for shares in the new holding company. The shares to be offered will be ordinary voting shares although it is anticipated that, in addition, investors will have the opportunity to enjoy some or all of the special features described in the attached list.
No indication of interest will involve an obligation or commitment of any kind.
Please note that it is not intended that the shares will be offered for sale or subscription in any jurisdiction other than New Zealand. As a result, neither this request for expressions of interest nor any offering document or advertisement in respect of any offer may be published, delivered or distributed in or from in any country outside New Zealand
It is proposed that the intended restructuring will be undertaken and the offer open in the first quarter of 2009. This timeline may be altered as required. Indications of interest may be made to:

Special Features
In addition to the usual rights of shareholders, it is anticipated that investors who subscribe for shares in any public offer will also be eligible to participate in the following special features:
Win a flying lap
• With an investment of $1,000, investors will have the opportunity to win a flying lap in the Hulme CanAm (as a passenger). Names will be entered into a draw, 10 names will be drawn and entered into the yearly draw to win a flying lap as a passenger.
• It is expected that, each year for up to 3 years until all the flying laps have been taken, up to 300 tickets will be drawn and venues provided in the North Island and South Island.
Get a confirmed flying lap
• For an investment of $3,000 investors will get 1 ticket in the yearly draw to qualify for 3 laps in the Hulme CanAm (as a passenger).
• For an investment of $5,000 the investor will receive 2 tickets in the draw.
• For an investment of $10,000 the investor will receive 5 tickets in the draw.
PLUS the first 100 investors who invest $10,000 or more, will also receive an exclusive, specially re-signed unframed copy of one of the original 1,050 copies of ‘The Denny Hulme 40th Anniversary Limited Edition Print’.
Hulme Supercars merchandise
A special range of Hulme Supercars Team merchandise (including caps and shirts) is to be created and made available only to investors.
The Hulme Supercars Club
Investors of $30,000 or more will be invited to become members of an exclusive Hulme Supercars Club.
Membership will entitle these investors to 18 flying laps in the Hulme CanAm. Hulme Supercars intends to hold special Hulme Supercars Club track functions, where these entitlements can be used. These can be allocated to any person the investor chooses.
In addition, it is intended that Hulme Supercar Club members will be invited (at their own expense) to join Hulme Supercars at the various exclusive overseas promotion functions. It is expected that special merchandise will be created and travel, accommodation and ticket packages will be negotiated by Hulme Supercars.
Note:
• Flying laps, other than those held by members of the Hulme Supercars Club, will not be transferable.
• An investment will qualify for ONLY one of the above special features.
